1. Acceptance of Terms

By accessing and using the website jdiconsulting.co (the "Site") and the services provided by JDI Consulting ("we," "our," or "us"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Site or services.

These Terms constitute a legally binding agreement between you and JDI Consulting. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting on the Site.

2. Description of Services

JDI Consulting provides cybersecurity consulting and digital investigation services, including but not limited to:

• Digital investigations and OSINT (Open-Source Intelligence)
• Log and platform data analysis
• Cyber harassment and abuse investigations
• Account compromise and unauthorized access investigations
• Technical summaries for non-technical audiences
• Security advisory and risk reduction services

All services are provided subject to these Terms and any additional agreements entered into between you and JDI Consulting.

3. Use of the Site

3.1 Permitted Use

You may use the Site for lawful purposes only and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Site
• Interfere with or disrupt the Site or servers
• Transmit any viruses, malware, or harmful code
• Use automated systems to access the Site without permission
• Reproduce, duplicate, or copy any content without authorization

3.2 Intellectual Property

4. Service Agreements

When you engage JDI Consulting for services, a separate service agreement or statement of work may be executed that will govern the specific terms of that engagement, including scope, deliverables, fees, and timelines.

In the event of a conflict between these Terms and a specific service agreement, the service agreement will control with respect to that particular engagement.

5. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Cooperate in good faith with our investigation and analysis processes
• Maintain the confidentiality of any sensitive information shared
• Comply with all applicable laws and regulations
• Pay all fees as agreed upon in a timely manner

6. Confidentiality

We understand the sensitive nature of the matters we investigate. We will maintain confidentiality of client information and investigation materials in accordance with:

• Applicable professional standards
• Legal and regulatory requirements
• Any specific confidentiality agreements entered into

However, we may be required to disclose information if legally compelled to do so by court order, subpoena, or applicable law.

7. Limitation of Liability

7.1 Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JDI CONSULTING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO JDI CONSULTING IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

8. Indemnification

You agree to indemnify, defend, and hold harmless JDI Consulting, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Site or services, your violation of these Terms, or your violation of any rights of another party.

9. Termination

We reserve the right to terminate or suspend your access to the Site or services at any time, with or without cause or notice, for any reason, including if you breach these Terms.

Upon termination, your right to use the Site and services will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property rights, limitation of liability, and indemnification.

10. Governing Law and Jurisdiction

10.1 United States

For users located in the United States, these Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Columbus, Ohio.

10.2 European Union

For users located in the European Economic Area (EEA) or United Kingdom, these Terms shall be governed by the laws of The United States of America, and any disputes shall be subject to the exclusive jurisdiction of the courts of The United States of America.

If you are a consumer in the EEA, you may also have rights under mandatory consumer protection laws of your country of residence, which cannot be excluded or limited.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiation.

11.2 Mediation

If informal resolution is unsuccessful, disputes may be resolved through mediation before a mutually agreed-upon mediator.

11.3 Arbitration (US Users)

For US users, any disputes that cannot be resolved through negotiation or mediation shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

12. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

13. Entire Agreement

These Terms, together with any service agreements or other documents referenced herein, constitute the entire agreement between you and JDI Consulting regarding the use of the Site and services, superseding all prior agreements and understandings.
